We are recruiting on behalf of our client for an experienced and detail-oriented Assistant Vice President to join their Company Secretarial team. In this senior role, you will manage a portfolio of high-value clients, including hedge funds and private equity funds, while supporting their governance requirements and leading key projects. Responsibilities and Duties
As Assistant Vice President (CoSec), your key responsibilities will include:
- Creating agendas, compiling and distributing board packs, and liaising with service providers.
- Managing board, advisory, and shareholder meetings, including minute-taking as company secretary.
- Preparing and distributing detailed meeting minutes and coordinating post-meeting actions.
- Acting as the primary contact for a portfolio of entities.
- Handling correspondence and administrative matters with attorneys, clients, and service providers.
- Managing invoicing and accounts receivable.
- Leading or supporting internal projects, including process documentation and best practice implementation.
- Working flexible hours as needed to support board meeting schedules.
- Participating in ad hoc projects within the wider professional services team.
Qualifications and Skills
To be successful in this role, you should have:
- A bachelor’s degree in law, business, or languages; ICSA or CGI qualification preferred.
- At least 5 years’ relevant fund company secretarial experience in industry or professional practice.
- Strong knowledge of CIMA’s Statement of Guidance, Corporate Governance, Mutual Funds, and Private Funds.
- A solid understanding of regulatory frameworks and board meeting support processes.
- Proven experience coordinating and attending board meetings, with excellent minute-taking skills.
- Exceptional written and verbal communication abilities.
- Strong multitasking skills and the ability to meet deadlines under pressure.
- Confidence working independently and collaboratively within a team.
