Job Summary
We are recruiting on behalf of a respected client for the position of Corporate /Board Secretary . This role is ideal for a detail-oriented professional with experience in corporate governance, board support, and regulatory compliance. You will play a key role in supporting directors and ensuring smooth operations across various corporate entities.

Responsibilities and Duties
As Corporate /Board Secretary, your responsibilities will include:

  • Coordinating and scheduling board meetings in consultation with clients and directors.
  • Preparing and distributing meeting agendas, notices, and board packs.
  • Liaising with fund administrators, auditors, AML officers, and other service providers to gather documentation.
  • Transcribing board minutes and managing their review and circulation.
  • Ensuring compliance with Cayman Islands legislation, including the Mutual Funds Act and AML regulations.
  • Acting as a liaison with regulatory authorities.
  • Preparing fee invoices and monitoring payments.
  • Maintaining and updating the SharePoint database.
Qualifications and Skills
To succeed in this role, you should bring:
  • Proven experience in corporate administration or board support roles.
  • Strong understanding of Cayman Islands financial regulations.
  • Excellent organisational and communication skills.
  • Ability to manage multiple tasks and meet deadlines.
  • Proficiency in Microsoft Office and SharePoint.
  • Familiarity with CIMA REEFS, CORIS, and CAP platforms.
  • Attention to detail and a proactive approach to problem-solving.
  • Professional demeanour and ability to work independently and as part of a team.
